BINDING AGREEMENT NOTICE
The entertainment services provided via this digital platform (collectively, the "Platform") are designed for recreational purposes only. They do not constitute gambling with real money as defined under relevant laws, as participation does not involve wagering real currency.
These Terms of Service (the "Agreement") establish a legally binding contract between you, the user ("you" or "User"), and VastFill Games Inc ("VastFill," "we," "us," or "our"). This Agreement governs your access to and interaction with our websites, mobile applications, digital games, user profiles, and all associated features and services (the "Services").
By indicating your acceptance, you affirm that you possess the legal capacity to enter into this Agreement, meet all specified age and eligibility criteria, and have read and understood its contents. Your acceptance is signified by checking the appropriate box, initiating access to our games, or creating a user profile. This action constitutes your irrevocable consent to be bound by all terms herein.
1. Revisions to this Agreement and Incorporated Documents
• a. Modifications: We reserve the right to amend, update, or replace this Agreement at our sole discretion. Material changes will be communicated via email notification. The most current version will always be posted on our Platform. Your continued use of the Services following any such updates constitutes your acceptance of the revised Agreement.
• b. Related Policies: Additional policies referenced within this Agreement, such as our Privacy Policy and Responsible Gaming Policy (the "Ancillary Policies"), may also be updated periodically. Such updates will be posted on the Platform, and your continued use signifies acceptance.
• c. Conflict: In the event of any inconsistency between this Agreement and any Ancillary Policy, the terms of this Agreement shall prevail.

2. Understanding Gameplay Mechanics & Virtual Items
• a. Virtual Credit Overview: The Services utilize digital tokens ("Virtual Credit"), which may be acquired free of charge or via purchase. There are two distinct categories:
• i. Gold: The standard in-platform currency used for gameplay and entertainment. Gold holds no monetary value, cannot be exchanged for cash or prizes, and is not redeemable.
• ii. Sweepstakes Coins ("Sweeps"): Sweeps that may be used in designated games for a chance to win tangible prizes. Sweeps may be obtained through promotions or as bonuses. No purchase is necessary to acquire Sweeps.
• b. Limited Use License: Subject to your compliance with this Agreement, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for personal entertainment purposes only. This license confers no ownership rights in any Virtual Credit or Service elements.
• c. Transfer Restrictions: You are strictly prohibited from selling, trading, gifting, assigning, or otherwise transferring any Virtual Credit or your user profile to another party. Violations may result in immediate account termination, forfeiture of all Virtual Credit, permanent suspension, and legal action.
• d. Ownership & Intellectual Property: The Services are licensed, not sold. All rights, title, and interest, including all intellectual property rights, in and to the Services remain exclusively with VastFill and its licensors. You agree not to remove, alter, or obscure any proprietary notices.
• e. Prohibited Activities: You may not: (i) copy, modify, or create derivative works of the Services; (ii) reverse engineer, decompile, or disassemble the Services except as expressly permitted by law; (iii) use the Services for any unlawful or harassing purpose; (iv) employ automated systems, bots, scrapers, or scripts to interact with or extract data from the Services.
3. Prize & Redemption Parameters
• a. Jurisdictional Prize Caps: Maximum prize values per individual game round are subject to the following regional limits:
• New York, California, Alabama, Florida: USD $5,000 cap.
• Texas: USD $1,000 cap.
• New Jersey: USD $10,000 cap.
Amounts exceeding these caps will be reduced accordingly.
• b. General Redemption Limits: We may impose additional redemption limits at our discretion, such as a maximum of USD $10,000 per user per day, or other limits necessary for legal or operational compliance.
• c. Alternative Entry Methods ("AMOE"): Eligible users may obtain Sweeps without any purchase through our Alternative Entry Methods ("AMOE"). The use of automated tools or fraudulent methods is prohibited. For full AMOE details, refer to the Sweepstakes Official Terms & Conditions.
• Method A (Postal): Handwrite a 4"x6" card with your full legal name, account address, registered email, unique Postal Code, and the statement: "I request Credits to participate in the sweepstakes and confirm I have read and agree to the Terms of Service and Sweepstakes Official Terms & Conditions'' "Sweepstakes Entry Request" to: 1144 15th Street, Denver, CO 80202, USA. Each valid request credits 0.2 Sweeps.

4. User Eligibility & Geographic Restrictions
Your right to use the Services is contingent upon your ongoing compliance with this Agreement, including:
• a. Age & Capacity: You must be at least 21 years of age, or the age of legal majority in your jurisdiction (whichever is higher), and legally authorized to participate.
• b. Legal Compliance: You are solely responsible for ensuring your use of the Services complies with all local, state, and national laws.
• c. Account Responsibility: You must prevent minors from accessing the Services via your account and are fully liable for any related activity or transactions.
• d. Restricted Regions: Access to the Services is prohibited for individuals physically located in the following U.S. states: California, Connecticut, Idaho, Louisiana, Michigan, Montana, Nevada, New Jersey, and the state of New York.
• e. Personal Use: Participation is for personal entertainment only. Fraudulent activity or the use of unauthorized automated software is grounds for account suspension and invalidation of associated gameplay.
• f. Single Account: Each individual is permitted only one active user profile.
5. Geographic Verification & Anti-Circumvention
Use of the Services is permitted only from lawful jurisdictions. You are prohibited from attempting to mask or falsify your location or device information using technologies such as VPNs, proxy servers, emulators, or IP-spoofing tools. We employ geolocation verification and fraud detection systems. Any attempt to circumvent these measures may result in account suspension, forfeiture of Sweeps or prizes, and other remedial actions.
6. User Profile Management
• a. Accuracy: You are responsible for maintaining accurate and current profile information.
• b. Security: You must safeguard your login credentials and are responsible for all activities under your profile. Report any unauthorized access immediately.
• c. Inactivity: Profiles inactive for 60 days may be deactivated at our discretion.
• d. Closure: You may request profile closure via support. Upon closure, all Virtual Credit is forfeited. We reserve the right to suspend or close any profile at our sole discretion.
7. Game-Specific Rules
Individual games may have unique rules accessible within the Service. You are responsible for reviewing and understanding these rules before participating.
8. Identity & Location Verification
We may require you to complete verification checks, which may include submitting a government-issued ID, proof of address, or other documentation. Access may be restricted until verification is satisfactorily completed. Failure to provide requested documents within 40 days may lead to account deactivation. You consent to the use of third-party services for verification purposes, including enabling device location services.
9. Intellectual Property
You acknowledge that all rights in the Services, including software, graphics, and content, are owned by VastFill or its licensors. No ownership rights in any element of the Services are transferred to you.
10. User-Submitted Content
• You are solely liable for any content you submit ("User Content"). You agree not to submit illegal, infringing, harassing, or otherwise objectionable material. By submitting User Content, you grant us a perpetual, worldwide, royalty-free license to use, modify, and distribute it in connection with our Services. We may remove User Content at any time but have no obligation to monitor it.
11. Third-Party Services
The Platform may contain links to third-party websites or services. We do not endorse or control these external entities. Your interactions with them are at your own risk, and you should review their respective terms and privacy policies.
12. Service Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. In case of system errors, server data shall be definitive.
13. Liability Limitations & Indemnification
• a. Our Liability: To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability shall not exceed the total amount you have paid to us in the 180 days preceding the claim.
• b. Your Indemnity: You agree to defend, indemnify, and hold harmless VastFill from any claims arising from your use of the Services, breach of this Agreement, or violation of any law or third-party rights.
14. Dispute Resolution: Arbitration & Waiver
• Governing Law: This Agreement is governed by the laws of the State of Colorado, USA.
• Arbitration: Any dispute shall be resolved by final, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Rules. For users outside the U.S., arbitration shall be administered by the Singapore International Arbitration Centre (SIAC).
• Mass Action Waiver: YOU AND WE AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION, OR ACT AS A PRIVATE ATTORNEY GENERAL. THIS WAIVER IS AN ESSENTIAL PART OF THIS ARBITRATION PROVISION.
• Opt-Out: You may opt out of this arbitration agreement by sending a signed, written notice to [email protected] within 30 days of accepting these Terms, containing your name, address, and a clear opt-out declaration. Note that opting out will result in the termination of your access to the Platform.
15. General Terms
• a. Entire Agreement: This document constitutes the entire agreement between you and VastFill.
• b. Taxes: You are solely responsible for any taxes arising from your use of the Services.
• c. Assignment: You may not assign your rights under this Agreement. We may assign our rights freely.
• d. Severability: If any provision is held invalid, the remainder of the Agreement remains in effect.
